1.1 These Terms and Conditions ("Terms") govern your access to and use of the website located at https://www.hungryclione.com (the "Site"), operated by the Hungry Clione team ("Hungry Clione", "we", "us", "our").
1.2 By accessing or using the Site in any manner, you ("User", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must cease use of the Site immediately.
1.3 We reserve the right to amend these Terms at any time. Amendments take effect upon posting to the Site with an updated "Last updated" date. Continued use of the Site following any amendment constitutes acceptance of the revised Terms.

PART 2 — DEFINITIONS
2. Definitions
In these Terms, the following terms have the meanings set out below:
"Content" means all text, images, animations, illustrations, character designs, video content, audio, graphics, logos, and any other material published on or accessible through the Site.
"Intellectual Property Rights" means all copyright, trade mark rights, design rights, database rights, patents, know-how, and all other intellectual or industrial property rights, whether registered or unregistered, anywhere in the world.
"User-Generated Material" means any content, feedback, or communication submitted by a User to Hungry Clione through any channel, including but not limited to the contact form and email.
"Third-Party Platforms" means external platforms including YouTube, TikTok, and Instagram, on or through which Hungry Clione content may be accessible.

PART 3 — INTELLECTUAL PROPERTY
3. Ownership
3.1 All Intellectual Property Rights in and to the Site and all Content are owned exclusively by Hungry Clione or are used under licence. Nothing in these Terms transfers any Intellectual Property Rights to you.
3.2 The Hungry Clione name, logo, and the Clione character design are proprietary to Hungry Clione and protected under applicable copyright and unfair competition law. Trade mark registration proceedings may be initiated in relevant markets. You may not use these marks or designs for any purpose without our prior written consent.
3.3 The animated works, character designs, visual style, and all associated creative elements constitute original artistic works protected under the Copyright Act of Japan (著作権法) and equivalent laws in other jurisdictions.
4. Permitted Use of Content
4.1 Subject to these Terms, you may:
(a) access and view the Site and Content for personal, non-commercial purposes;
(b) share links to the Site or to embedded Third-Party Platform content for personal, non-commercial purposes, provided that such sharing clearly identifies Hungry Clione as the source and does not imply any endorsement or official association.
4.2 You may not, without our prior written consent:
(a) reproduce, copy, distribute, publish, broadcast, or communicate to the public any Content, whether in whole or in part;
(b) modify, adapt, translate, or create derivative works based on any Content;
(c) use any Content for commercial purposes, including but not limited to advertising, merchandise, or monetised social media content;
(d) use any Content for the purpose of training, fine-tuning, or developing artificial intelligence or machine learning models, automated systems, or datasets of any kind;
(e) remove, obscure, or alter any copyright notice or other proprietary marking appearing on or within any Content.
5. Fan-Created Content
5.1 Hungry Clione welcomes fan art and fan-made creative works inspired by the brand ("Fan Content"), subject to the following conditions:
(a) Fan Content must be clearly and prominently labelled as unofficial fan-made work and must not be presented as, or in a manner likely to be confused with, official Hungry Clione material;
(b) Fan Content must not be used for commercial purposes, including sale, licensing, or monetisation, without our prior written consent;
(c) Fan Content must not depict the Clione character or Hungry Clione brand in a manner that is defamatory, obscene, or otherwise harmful to the reputation of Hungry Clione.
5.2 We reserve the right to request removal of Fan Content that does not comply with these conditions.

PART 4 — USE OF THE SITE
6. Acceptable Use
6.1 You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:
(a) use the Site in any way that violates applicable local, national, or international law or regulation;
(b) transmit any unsolicited or unauthorised advertising or promotional material;
(c) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Hungry Clione or other users;
(d) use any automated tool, script, bot, scraper, or other means to systematically extract, collect, or harvest data from the Site;
(e) introduce any virus, trojan, worm, logic bomb, or other material that is malicious or technologically harmful;
(f) attempt to gain unauthorised access to the Site, its servers, or any database or system connected to the Site;
(g) impersonate Hungry Clione, any member of the Hungry Clione team, or any other person.

PART 5 — CHILDREN'S PRIVACY (COPPA)
7. Users Under the Age of 13 — United States
7.1 This Site is accessible to users of all ages, including children under the age of 13 in the United States. We are committed to complying with the Children's Online Privacy Protection Act ("COPPA").
7.2 We do not knowingly collect personal information from children under 13. If you are a parent or guardian and believe that your child has provided us with personal information without your consent, please contact us immediately at support@hungryclione.com and we will take prompt steps to delete that information.
7.3 The Site does not require registration or account creation. We do not solicit, collect, or store personal data from any user for marketing purposes.
7.4 If we become aware that we have inadvertently collected personal information from a child under 13 without verifiable parental consent, we will delete such information from our records without delay.

PART 8 — DISCLAIMERS AND LIMITATION OF LIABILITY
12. Disclaimer of Warranties
12.1 The Site and all Content are provided on an "as is" and "as available" basis without any warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12.2 We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
12.3 Nothing on the Site constitutes professional, legal, financial, or other regulated advice.
13. Limitation of Liability
13.1 The Site is provided free of charge. 13.2 This includes but is not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other economic or non-economic loss, even if we have been advised of the possibility of such loss.
13.3 Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation;
(c) any other liability that cannot lawfully be excluded under Japanese law or other applicable mandatory law.
13.4 Where applicable consumer protection law — including but not limited to EU Directive 2011/83/EU, the UK Consumer Rights Act 2015, or equivalent Japanese consumer protection legislation — confers rights on you that cannot be excluded or restricted by contract, those rights are not affected by these Terms.
14. Indemnification
14.1 You agree to indemnify, defend, and hold harmless Hungry Clione and its team members from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your use of the Site in breach of these Terms;
(b) your violation of any applicable law or regulation;
(c) any User-Generated Material you submit to us.

PART 9 — GENERAL PROVISIONS
15. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.
16. Waiver
No failure or delay by Hungry Clione in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach shall not constitute a waiver of any subsequent breach.
17. Entire Agreement
These Terms, together with the Privacy Policy at https://www.hungryclione.com/privacy-policy, constitute the entire agreement between you and Hungry Clione with respect to your use of the Site and supersede all prior agreements and understandings.
18. Force Majeure
Hungry Clione shall not be liable for any delay or failure in performance of any obligation under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, civil unrest, industrial disputes, fire, flood, pandemic, or failure of third-party telecommunications infrastructure.
19. Governing Law and Jurisdiction
19.1 These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.
19.2 Any dispute arising out of or in connection with these Terms, the Site, or any Content shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.
19.3 Notwithstanding clause 19.2, where mandatory consumer protection law in your country of residence requires disputes to be resolved in your local courts, that mandatory law shall apply to the extent required.

OUTSTANDING ACTIONS BEFORE PUBLICATION
The following items must be completed before these Terms are published:
1. PRIVACY POLICY — A full GDPR/APPI/COPPA-compliant Privacy Policy must be published at https://www.hungryclione.com/privacy-policy. Currently this page does not exist or is unpublished. This is a legal requirement.
2. COOKIE AUDIT — Confirm which cookies (if any) the Site sets. If any non-essential cookies are used, a consent banner is required for EU/UK visitors.
3. TRADE MARK REGISTRATION — The Hungry Clione name and Clione character design are not currently registered trade marks. Consider filing in Japan (JPO), the EU (EUIPO), and the US (USPTO) to strengthen IP protection. Until registered, rights are based on unregistered / common law trade mark protection and copyright only.
4. COPPA PARENTAL CONSENT MECHANISM — Since the Site is accessible to US children under 13 and embeds third-party platform content (YouTube, TikTok), confirm with US counsel whether any additional consent mechanism or age gate is required beyond the current no-data-collection approach.
5. REVIEW BY QUALIFIED COUNSEL — These Terms have been drafted at professional standard but must be reviewed by a qualified lawyer admitted in Japan (and ideally with cross-border consumer law experience) before publication.
